- My lease agreement with Crown Castle runs for several more years. Why are you calling me now?

Q: My lease agreement with Crown Castle runs for several more years. Why are you calling me now?
A: Crown Castle’s wireless customers expect that the location of their cell sites (situated on Crown Castle’s towers) will remain intact for the long term. The wireless carriers design and build their networks based on demand for coverage in a geographic area, so each site becomes an integral part of their network. Recently certain “investment firms,” not affiliated with Crown Castle, have been contacting our landowners directly to attempt to negotiate varying types of transactions. The offers made by these other parties may not be in our landowners’ best interest and we encourage our landowners to contact Crown Castle prior to executing an agreement with another firm. Almost without exception, Crown Castle will be able to make you a better offer than the other firms.

A: Crown Castle, or its authorized agent, will provide you with your Crown Castle lease number to validate that you are dealing directly with Crown Castle. No one except a Crown Castle representative or authorized agent will have this information or know the present terms and conditions of your lease agreement.

Q: What options would Crown Castle offer to me for the lease that I presently have with them?
A: Generally, Crown Castle has a number of different options that it utilizes to extend the arrangement with landowners. Different circumstances and lease terms and conditions warrant different types of transactions with the landowners. Typical potential transactions include:
- Purchase of land (fee simple).
- Prepayment of lease term (generally up to 20 years on a net present value basis).
- Perpetual easement.
- Long-term lease extension.
It is best to review these offerings with a representative of Crown Castle in addition to your tax advisor and personal attorney.

Q: What is a perpetual easement, and what are the mechanics of a perpetual easement?
A: A perpetual easement allows Crown Castle the right to use your land for specific purposes for an indefinite period of time. It is similar to usual easements that are often granted to public utility or telephone companies to run lines on or under your private property or granted to neighboring houses for the use of a common driveway to give access to their home. In the case of your arrangement with Crown Castle, an agreement would be executed and recorded in the public records. You would continue to own your land. In the event that Crown Castle determines that it will no longer utilize your land for the purpose of situating a tower, the perpetual easement would no longer be in effect and the land would be free and clear.

Q: If I agree to provide Crown Castle with an easement, how do I get paid?
A: Crown Castle will pay you a lump sum at the time that the perpetual easement is executed. The lease payments you currently receive would cease.

Q: If I agree to a perpetual easement and I subsequently sell my property, how would this affect the easement?
A: The land would remain subject to the easement after the sale. You would be required to provide Crown Castle notice of the proposed sale, and Crown Castle would have the opportunity to match the proposed offer.

Q: In the event of a lease extension, can I still sell my land or transfer it to my family?
A: If you sell your land or transfer your property to your family, the lease terms and conditions remain. The new owner of the property would have to abide by the terms and conditions of the lease until the final expiration date or other dates as stipulated in the lease.

Q: What documents are needed to enter a lease extension under the terms of the current lease?
A: Crown Castle will provide you with an amendment to the current lease to provide for any changes in the terms and conditions. It is advisable that you have your personal attorney review the proposed lease amendment.
